DP Intelligence User Agreement

Before accepting this agreement, please be sure to carefully read all the contents of this agreement, fully understand the content of the terms, especially the limitations or exemptions, limitations or exemptions from liability provisions will be bold or other conspicuous form of prompting your attention. If you have questions about the terms of this agreement, please contact the relevant business department of Guangdong DP Intelligent Technology Co. Unless you have read and accept this agreement and related agreements, rules and other terms, otherwise, you do not have the right to use this service. Once you choose to "agree to the agreement and submit" (see the registration page for details of the wording) and complete the registration process, or you use this service in any way, that is, you are deemed to have read and agree to the above agreements, rules and other constraints.

If you have violated any behaviour of this agreement, Guangdong DP Intelligent Technology Co.,Ltd has the right to unilaterally take measures such as limiting, suspending or terminating the service to you at any time according to your violation, and has the right to hold you responsible for the relevant responsibilities.

This service agreement (hereinafter referred to as "this agreement") by you and Guangdong DP Intelligent Technology Co.,Ltd (hereinafter referred to as "DP") jointly signed, including but not limited to: "DP Intelligent Privacy Policy" and other content. If there is any change,DP will announce it by sending messages in the licensed software without prior notice. Changed agreements and rules will automatically become part of this agreement once they are announced without further notice to you to agree. If you do not agree with the changes, please immediately stop using the services of DP; if you continue to use, it is deemed to have no objection to the revised rules and agree to comply with them.

I. Definition of Terms

1.1.Licensed Software: refers to the software system provided by Gemini for you to download and install and use in the limited system mobile terminal.

1.2. Services: the services provided by GEM and its suppliers. You can use the services in the mobile terminal through the licensed software.

II. Services

2.1. Elementary and its suppliers provide you with intelligent life device management services, you can control the smart terminals connected to the cloud platform of Elementary suppliers through Elementary and realise the linkage between smart devices. The services include intelligent device management, scene linkage, analysis report, etc. These functional services may be optimised or modified according to the changes in your needs or the unilateral judgement of the service provider, or the services may be temporarily suspended due to regular and irregular maintenance.

III. Scope of Services

3.1. Subject to this Agreement, DP grants you a right to use the Licensed Software.

3.2. You may not license, sell, lease, transfer, distribute, or make any other commercial use of the Licensed Software.

3.3.Because of the restricted range of platforms and terminals on which the Licensed Software is available, you may use the Licensed Software only on the licensed platforms and terminals, and installing the Licensed Software on other terminals may cause damage to your hardware or software functions.

3.4. You should understand that the Licensed Software may only be used for non-commercial purposes and may not be installed, used or operated for commercial purposes.

3.5. DP and its suppliers may from time to time make changes, upgrades or transfers to the Licensed Software and its related features, and may add new features or services to the Licensed Software system. If there is no separate agreement for such new features or services, you may still obtain a licence for the corresponding features and services, and this Agreement shall apply.

3.6. You shall be responsible for the accuracy, reliability, completeness and legality of the data you enter and the legality of the manner in which you obtain the data, and shall back up your data, information, etc. on a regular basis. You bear the full risk of damage or loss of such data.

3.7. You should properly keep your account, password, if you find your account there are security risks (including but not limited to user password leakage), should promptly notify DP, DP will assist you to take relevant measures. Otherwise, all the behaviours under your account shall be your responsibility and you shall bear all the liabilities.

IV. Third Party

4.1. You are aware that some of the services of DP and its suppliers may be used based on the software or services provided by a third party, which is set up to provide convenience to you and is legally authorised by such third party.

4.2. The Product contains some information and services of third parties. Paradigm and its suppliers do not control such third party information and services.

4.3. You understand that DP and its suppliers cannot guarantee that the licensed software will permanently use or include such third party services, nor can they guarantee whether they will continue to use other software or services provided by the same third party in the future, and may also use similar services of other third parties, and that once the said corresponding software or services are activated, the same provisions of the Treaty will apply.

V. Use of Services

5.1. You should regulate the use of the licensed software, the following ways are in violation of the use of norms: 1) release or share computer viruses, worms, malicious code, intentional destruction or alteration of computer systems or data software; 2) unauthorised collection of other users' information or data, such as e-mail addresses; 3) malicious use of the product in an automated manner, deceive the server to cause excessive burden or otherwise interfere with or damage web servers and web links; 4) Unauthorised attempts to access server data or communications data of the Product; 5) Interference with or damage to the use of the Product by other users.

5.2. You understand and agree that: 1) DP may determine whether you are suspected of violating the above Terms of Use and, based on such determination, may suspend or terminate your licence or take any other restrictive action it deems appropriate. 2) You may not use the Licensed Software in any manner that would violate the above Terms of Use. 2) DP will delete any information posted by you when you use the Licensed Software that is suspected of violating the law or infringing on the legal rights of others or violating this Agreement. 3) For your violation of the above norms of use of the behaviour of any third party caused by damage, you need to take legal responsibility in their own name independently, and should ensure that DP from the resulting loss or increase costs, or DP has the right to recover from you. 4) If you violate the relevant laws or the provisions of this Agreement, so that DP and its suppliers suffered any losses, you should compensate for the losses caused by DP and its suppliers and (or) the costs incurred.

VI. Information Content Regulation

6.1.You promise that you will not use the services for any illegal or improper activities, including but not limited to the following behaviours:

6.1.1. Uploading, transmitting or sharing information that contains any of the following contents: 1) opposing the basic principles established by the Constitution; 2) endangering national security, leaking state secrets, subverting state power, or undermining national unity; 3) damaging national honour and interests; 4) inciting ethnic hatred, ethnic discrimination, or undermining national unity; 5) undermining national religious policies, or promoting cults and feudal superstitions; 6) spread rumours that disrupt social order and undermine social stability; 7) spread obscenity, pornography, gambling, violence, murder, terrorism, or incitement to commit crimes; 8) insult or defame others, or infringe upon the legal rights of others; 9) contain false, fraudulent, harmful, coercive, invasive of another's privacy, harassing, invasive, defamatory, vulgar, indecent, or otherwise morally repugnant content; and 10) contain 10) Contains any other content that is restricted or prohibited by applicable laws, rules, regulations, ordinances, or any other norms having the force of law.

VII. Privacy Policy and Data

7.1. Protecting your personal information is important to DP. DP has formulated the "DP Intelligence Privacy Policy" to make important disclosures about the ownership and protection of intellectual property rights, the collection, use, sharing, storage and protection of your information and other aspects of the relationship between the contents. We recommend that you read the "DP Intelligence Privacy Policy" in its entirety.

VIII. Disclaimer

8.1. Except as expressly provided by laws and regulations, DP will use its best efforts to ensure that the licensed software and the technology and information it involves are safe, effective, accurate and reliable, but DP cannot guarantee this due to the limitations of existing technology.

8.2. You understand that DP cannot be held liable for direct or indirect losses caused by force majeure or third parties.

8.3. The general pattern is that you are solely responsible for personal injury or incidental or consequential damages arising out of or in connection with: 1) unauthorised use of the Licensed Software or alteration of your data by a third party; 2) costs and damages arising out of the use of the Licensed Software; 3) your misunderstanding of the Licensed Software; and 4) any other damages relating to the Licensed Software that are not attributable to DP. 8.4.

8.4. Any other software derived from the Licensed Software that is not developed or authorised to be developed and officially released by DP is illegal. Downloading, installing and using such software may result in unforeseeable risks, and any legal liabilities and disputes arising therefrom shall have nothing to do with DP, which has the right to suspend or terminate the use of the Licensed Software and/or all other services.

8.5. You have been informed that the use of the Paradigm Supplier Cloud Platform involves Internet services, which may be affected by unstable factors in various links, and that the Services may be suspended, interrupted, delayed, or suspended due to inherent defects of the Internet and electronic communications and time beyond the reasonable control of any party to this Agreement (including, but not limited to, fires, floods, terrorist attacks, plagues, natural disasters, riots, terminal viruses, hacking, network failures, and terminal malfunctions) and suspension, interruption, delay, restriction of use or inability to use occurs. You hereby expressly assume the above risks and agree that DP Pie shall not be liable to you for the normal operation of the Services as a result of the actual occurrence of any of the above risk events.

IX. Termination of Agreement and Liability for Breach of Contract

9.1. You should understand that you need to use the licensed software in accordance with the scope of authorisation, respect the intellectual property rights of the licensed software and the content contained in the licensed software, use the licensed software in accordance with the specifications, and perform your obligations in accordance with this Agreement. If you seriously violate this Agreement, DP will terminate your use of the Licence and require you to bear the corresponding responsibility.

9.2. Your use of the Licensed Software depends on the ancillary services provided to you by DP and its suppliers. Any violation of the terms, agreements, rules, notices and other relevant provisions of the terms and conditions with DP and its suppliers may result in you not being able to use the Licensed Software normally, and DP has the right to terminate the Licence of Use or to adopt restrictive measures in the manner agreed upon to your use of the Licence and other rights and interests under the control of DP, including the suspension or termination of the Licence of Use. 9.3.

9.3. Once you violate this Agreement or other agreements signed with DP, DP and its suppliers have the right to take restrictive measures on your rights and interests, including suspending or terminating the provision of part or all of the services to you, and publicise your breach of contract in accordance with the law on the websites operated or actually controlled by DP and its suppliers.

9.4. If you download the licensed software from the download platform, you need to comply with the agreement of the download platform, the system platform and the terminal manufacturer on the way and limitation of your use of the licensed software, and if the said third party confirms that your violation of the agreement needs to be dealt with by DP and its suppliers, DP may terminate the use of the licensed software to you due to the request of the third party.

9.5. Upon termination of this Licence, you shall stop using the Licensed Software and destroy all copies.

9.6. If you violate the terms and conditions of this Agreement and cause damage to DP, its suppliers or other users, you must assume full responsibility for compensation.

X. Governing Law and Severability

10.1. The validity, interpretation, change, implementation and dispute resolution of this Agreement shall be governed by the laws of the People's Republic of China, and if there is no relevant legal provision, reference shall be made to the general international business practices and (or) industry practices.

10.2. The disputes arising from or in connection with this Agreement may be resolved by friendly negotiation or submitted to the people's court with jurisdiction over the place of signing of this Agreement for adjudication.

10.3. When any provision of this Agreement is ruled invalid by the people's court of competent jurisdiction, it shall not affect the validity of other provisions or any part thereof, and you and DP shall still perform in good faith.

10.4. This Agreement is signed at Building 3, Ju'an Industrial Park, No. 8, Lianfeng Juxin Road, Xiaolan Town, Zhongshan City.
